Vail Resorts Board To Shrink To Nine As Director Sue Decker Steps Down

Vail Resorts will reduce the size of its board to nine members after director Sue Decker decided not to seek re-election at the company’s 2026 annual meeting, citing a desire to manage her growing portfolio of board commitments.

Decker, who has served on the board for 11 years, recently joined the boards of Anderson Group and Nscale, prompting her decision to step down from the US ski-resort operator.

Her current term will end at the 2026 Annual Meeting of Stockholders.

The company said its Nominating & Governance Committee is searching for an additional independent director with the help of an executive search firm. Vail Resorts expects to complete the process and expand the board back to ten members in early 2027.

The board change comes as Vail Resorts moves into the next phase of its growth strategy, centred on its “Epic Experience” plan, which puts guest experience at the centre of its expansion efforts.

Rob Katz, chairperson and chief executive of Vail Resorts, thanked Decker for her contribution, citing her experience in technology, consumer insights, finance and corporate governance.

“It has been a privilege and a pleasure to serve on the Vail Resorts Board for the past eleven years,” Decker said. She added that she was proud of the company’s progress and its role in the snowsports industry.

Vail Resorts appointed Bill Hornbuckle, CEO and president of MGM Resorts International, to its board in July. The company also added Reggie Chambers and Iris Knobloch as directors in 2024.

The planned appointment would therefore restore the board to ten members while continuing a recent expansion of its leadership experience across hospitality, technology, consumer markets and corporate governance.
