Microfinance Enters Ethiopia’s Capital Market Framework

Ethiopia’s emerging capital market is extending its regulatory reach into microfinance, with the Ethiopian Capital Market Authority registering 234,388 shares of Meba Microfinance Institute SC. The registration, approved on August 7, covers 34,388 shares already held by existing shareholders and 200,000 new shares that Meba plans to offer to its current shareholders.

The move brings a microfinance institution into Ethiopia’s developing securities-market framework, which was established as the country seeks to diversify financing beyond its traditionally bank-dominated financial system. The Ethiopian Capital Market Authority, established under the 2021 Capital Market Proclamation, regulates the issuance and trading of securities in the country. The authority requires securities offered or sold to the public to be registered before they can enter the formal market.

Meba’s registration was approved under the Capital Market Proclamation No. 1248/2021 and the Public Offer and Trading of Securities Directive No. 1030/2024. The registration does not amount to an endorsement of Meba’s shares or an invitation to investors to buy them, the authority said. The notice was issued solely to inform the public that the securities had been registered.

The 200,000 new shares are being offered to existing shareholders rather than announced as a public offer, according to the authority. For Ethiopia’s young capital market, the registration adds another type of financial institution to a system that is still building the infrastructure and regulatory framework needed to channel savings into businesses and investment opportunities.
